If a separate written agreement conflicts with these Terms, the separate written agreement will control for that specific engagement.
3. Eligibility
You must be legally capable of entering into a binding agreement to use our services. If you use our services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. You are responsible for providing accurate and truthful information when engaging Venture Connect.
4. Client Responsibilities
Clients are responsible for providing the information, materials, approvals, access, credentials, and cooperation reasonably required to complete a project. This may include access to websites, hosting accounts, domain accounts, eCommerce platforms, analytics platforms, payment providers, CRM systems, business documents, product information, brand assets, APIs, and third-party platforms. You represent that you have the legal authority to provide any credentials, information, content, data, or access supplied to Venture Connect. Delays caused by missing information, approvals, access, or client feedback may extend delivery timelines.
5. Accuracy of Information
You agree to provide complete, current, and accurate information. Venture Connect is not responsible for problems caused by inaccurate, incomplete, misleading, outdated, or fraudulent information supplied by a client or third party. You must promptly notify us if information relevant to your project changes.
6. Quotes, Proposals, and Scope
Prices and timelines may be provided through proposals, statements of work, invoices, emails, messages, marketplace contracts, or written agreements. A quote is valid only for the period stated in the quote. Any work requested outside the agreed scope may require additional fees, additional time, a revised proposal, a new milestone, or separate approval. We are not obligated to perform additional work that was not included in the original scope.
7. Fees and Payments
Clients agree to pay all fees according to the terms stated in the applicable proposal, invoice, contract, or payment schedule. Depending on the project, Venture Connect may require full payment in advance, a deposit, milestone payments, recurring payments, retainer payments, or hourly billing. Work may be paused if required payments are overdue. Unless otherwise agreed in writing, all fees are exclusive of applicable taxes, transaction fees, platform fees, chargeback fees, currency conversion costs, and third-party expenses.
8. Late or Failed Payments
If a payment is overdue, declined, reversed, disputed, or otherwise not successfully received, Venture Connect may pause work, suspend services, withhold deliverables, disable access to services we control, terminate the engagement, and seek recovery of outstanding amounts. Clients remain responsible for amounts properly owed under their agreement.
9. Refunds
Refund eligibility depends on the nature of the service and the work already performed. Unless otherwise agreed in writing, payments for completed work, consumed consulting time, completed milestones, custom development, onboarding work, third-party costs, or non-recoverable expenses are non-refundable. If a project is canceled before completion, any refund will be determined based on work already completed, time already spent, resources allocated, third-party expenses, contractual obligations, and milestones already delivered. Nothing in this section limits any rights that cannot lawfully be excluded.
10. Third-Party Fees
Clients are responsible for third-party costs unless specifically included in our written quote. Third-party costs may include hosting, domains, software licenses, plugins, applications, payment processing fees, APIs, subscription services, verification fees, marketplace fees, and platform fees. Venture Connect does not control pricing changes made by third-party providers.
11. Payment Solutions
Venture Connect may provide assistance relating to payment gateways, payment processors, merchant accounts, payment integrations, onboarding, or payment infrastructure. Unless expressly stated otherwise in writing, Venture Connect is not a bank, a card network, a payment processor, a licensed money transmitter, a financial institution, a merchant acquiring bank, or a guarantor of payment account approval. Third-party payment providers make their own decisions regarding account approval, underwriting, identity verification, business verification, transaction limits, reserves, holds, payouts, account restrictions, suspensions, and terminations. Venture Connect cannot guarantee approval, continued availability, transaction processing, or account performance with any third-party provider. Clients are responsible for complying with the terms, policies, laws, verification requirements, and risk requirements imposed by any payment provider they use.
12. No Circumvention or Misrepresentation
Clients must not use Venture Connect services to misrepresent their identity, business ownership, products or services, conceal prohibited activities, evade payment provider restrictions, circumvent platform suspensions, manipulate verification procedures, use falsified documents, conduct unlawful transactions, or mislead customers, banks, processors, platforms, or regulators. Venture Connect may immediately suspend or terminate services if we reasonably believe a client is using our services for unlawful, deceptive, fraudulent, or prohibited activity.
13. Business Introductions and Opportunities
Venture Connect may introduce clients to business partners, vendors, service providers, payment providers, technology providers, investors, merchants, contractors, or other commercial contacts. An introduction does not constitute an endorsement, guarantee, partnership, fiduciary relationship, investment recommendation, or warranty. Clients are responsible for conducting their own due diligence before entering into any commercial relationship. Venture Connect is not responsible for losses arising from the independent actions of third parties introduced through our network, except where liability cannot legally be excluded.
14. eCommerce Services
Venture Connect may assist with online stores, product listings, integrations, checkout systems, shipping configuration, website design, automation, and related eCommerce functions. Clients are responsible for product legality, product safety, product descriptions, pricing, taxes, shipping obligations, refunds, customer service, inventory, consumer protection compliance, fulfillment, product claims, and business licensing. Unless expressly agreed otherwise, Venture Connect does not act as the seller of record for a client's products.
15. Client Content
Clients retain ownership of content and materials they provide to Venture Connect. By providing content to us, you grant Venture Connect a limited license to use, reproduce, modify, and process that content as reasonably necessary to provide the requested services. You represent that you have sufficient rights to all content you provide and must not provide content that infringes another person's copyright, trademark, privacy rights, publicity rights, confidentiality rights, or intellectual property rights.
16. Intellectual Property
Unless otherwise agreed in writing, Venture Connect retains ownership of pre-existing tools, frameworks, templates, processes, libraries, internal systems, reusable code, methodologies, know-how, and proprietary materials. Upon full payment, ownership or usage rights for custom deliverables will be determined according to the applicable project agreement. Third-party software, plugins, libraries, APIs, themes, fonts, stock assets, and similar materials remain subject to their respective licenses.
17. Portfolio Rights
Unless prohibited by a written confidentiality agreement, Venture Connect may reference completed work in its portfolio, case studies, proposals, or business materials. We will not intentionally disclose confidential client information. Clients may request in writing that specific projects remain private.
18. Confidentiality
Both parties may receive confidential or commercially sensitive information during an engagement. Each party agrees to use reasonable measures to protect confidential information and not disclose it unnecessarily to third parties. Confidential information does not include information that is publicly available, was already lawfully known, was independently developed, was lawfully received from another source, or must be disclosed by law.
19. Account Credentials
Clients may provide temporary access to third-party accounts where necessary. Clients are responsible for providing authorized access, removing access after completion where appropriate, maintaining secure credentials, enabling multi-factor authentication where available, and reviewing account activity. Venture Connect will take reasonable measures to protect credentials provided to us.
20. Third-Party Platforms
Our services may depend on third-party platforms such as Shopify, WooCommerce, WordPress, Stripe, PayPal, hosting providers, analytics services, email providers, and cloud platforms. Venture Connect does not control these providers and is not responsible for platform outages, policy changes, suspensions, account closures, API changes, pricing changes, service interruptions, data loss caused by third parties, or changes to third-party functionality.
21. Project Timelines
Delivery dates are estimates unless expressly guaranteed in writing. Timelines may be affected by client delays, scope changes, third-party approvals, platform reviews, technical dependencies, API limitations, provider outages, and unforeseen technical issues. Venture Connect will make reasonable efforts to meet agreed schedules but is not responsible for delays outside our reasonable control.
22. Revisions
The number of revisions included in a project will be determined by the applicable agreement or proposal. Additional revisions beyond the agreed scope may incur additional charges. Requests that substantially change the original requirements may be treated as new work.
23. Support and Maintenance
Ongoing support, maintenance, monitoring, hosting, or optimization is not included unless specifically stated in writing. After project completion, additional support may be billed separately.
24. Acceptable Use
You may not use our website or services to break applicable laws, commit fraud, distribute malware, conduct phishing, facilitate unauthorized access, infringe intellectual property, harass others, send unlawful spam, process prohibited transactions, circumvent security measures, facilitate deceptive commercial practices, or interfere with our systems or services. We may suspend services for suspected violations.
25. No Professional Financial, Legal, or Tax Advice
Unless expressly stated otherwise, information provided by Venture Connect does not constitute legal advice, tax advice, accounting advice, investment advice, financial advice, or regulatory advice. Clients should consult qualified professionals regarding legal, tax, accounting, regulatory, or financial matters.
26. No Guarantee of Results
We may provide strategies, recommendations, technical services, and business support based on our professional judgment. However, we do not guarantee specific outcomes. Business results can depend on factors outside our control, including market conditions, consumer demand, competition, payment providers, client execution, pricing, product quality, and operational performance.
27. Disclaimer of Warranties
To the maximum extent permitted by law, our website and services are provided on an “as is” and “as available” basis. We do not warrant that services will be uninterrupted or error-free, that every integration will remain compatible indefinitely, that third-party services will remain available, that payment providers will approve an application, or that platforms will approve or retain an account. Any warranties that cannot legally be excluded remain unaffected.
28. Limitation of Liability
To the maximum extent permitted by applicable law, Venture Connect LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of our services, including loss of revenue, profits, data, customers, business opportunities, or goodwill. To the maximum extent permitted by law, Venture Connect's aggregate liability arising from a particular engagement will not exceed the amount actually paid to Venture Connect for the specific services giving rise to the claim during the applicable engagement. Nothing in these Terms limits liability that cannot lawfully be excluded or limited.
29. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Venture Connect LLC and its owners, employees, contractors, and representatives from claims, liabilities, losses, expenses, and reasonable legal costs arising from your unlawful conduct, your breach of these Terms, your business activities, your products or services, content supplied by you, your violation of third-party rights, or your misuse of our services.
30. Termination
Either party may terminate an engagement according to the applicable project agreement. Venture Connect may immediately suspend or terminate services where reasonably necessary due to nonpayment, fraud, abuse, illegal activity, security threats, misrepresentation, or material breach of these Terms. Termination does not eliminate payment obligations for services already performed or expenses already incurred.
31. Force Majeure
Venture Connect will not be responsible for delays or failures caused by circumstances reasonably outside our control, including natural disasters, war, government action, internet outages, power failures, cyberattacks, labor disputes, platform outages, telecommunications failures, and third-party service interruptions.
32. Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using our website or services, you acknowledge that you have reviewed our Privacy Policy.
33. Governing Law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
34. Dispute Resolution
Before initiating formal legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions. Unless prohibited by applicable law, disputes arising from these Terms or our services will be subject to the jurisdiction of the appropriate courts located in New York, United States.
35. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.
36. Waiver
Failure by Venture Connect to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.
37. Entire Agreement
These Terms, together with our Privacy Policy and any applicable proposal, invoice, statement of work, or written agreement, constitute the agreement between Venture Connect and the client regarding the applicable services.
38. Changes to These Terms
We may update these Terms periodically. When we make changes, we will update the “Last Updated” date at the top of this page. Continued use of our website or services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
